Citymart labels work products using a method to help identify the ownership, confidentiality and intellectual property status to enable sharing of information and methods across cities. Shareable and Public Work Products may be complemented by Creative Commons licenses.

Below you can find the explanation of any terms used by Citymart:

"Citymart Sensitive Information" means any information, process or Intellectual Property which the Provider uses, has developed or develops in relation to the provision of the Services which the Provider considers to be so sensitive to its business that the information, process or Intellectual Property cannot be shared with the City or those acting on its behalf;

"Citymart Work Product" means any Materials, save for that which is Citymart Sensitive Information or Citymart Confidential Information;

"Citymart Common Work Product" means any Citymart Work Product which is common to the work product which Citymart provides to others users of its services;

"Citymart Shareable Work Product" means any Citymart Work Product which the Parties mutually determine (either on a case by case basis, or with respect to a particular Citymart Work Product, as they see fit) can be shared with third parties, but which will not be made available to the public more generally, save as where the legislation may require it;

"Citymart Public Work Product" means any Citymart Work Product which the Parties have not determined to be Citymart Shareable Work Product;


Additional explanations:

"Citymart Commercially Sensitive Information" means any information which has been identified as such by the Parties in Schedule;

"Citymart Confidential Information" means:

  1. any information that ought to be considered as confidential (however it is conveyed or on whatever media it is stored) including information which would or would be likely to prejudice the commercial interests of any person, trade secrets, Intellectual Property of either Party and all Personal Data; and
  2. the Citymart Commercially Sensitive Information.

"FOIA" means the respective national equivalent of the UK's Freedom of Information Act 2000 and any subordinate legislation (as defined in section 84 of the Freedom of Information Act 2000) made under the Freedom of Information Act 2000 from time to time together with any guidance and/or codes of practice issued by the Information Commissioner or relevant Government Department in relation to such Act

"Intellectual Property" means all patents, rights to inventions, rights in formats, copyright and related rights, moral rights, trademarks and service marks, trade names and domain names, rights in get-up, rights to goodwill or to sue for passing off or unfair competition, rights in designs, rights in computer software, database rights, rights in confidential information (including Know-How and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications (and the right to apply) for, and renewals or extensions of, such rights and all similar or equivalent rights or forms of protection, which subsist now or in the future in any part of the world;

"Citymart Know-How" means Citymart trade secrets, Confidential Information, know how, inventions, technical or commercial knowledge, manufacturing or business processes, methods and procedures;

"Citymart Personal Data" means any information which could reasonably be used to identify a person, such as their name, address, email address, birth date, financial information, telephone number or any combination of the foregoing, or any other information which is subsequently determined to fall within the concept of personal data in the respective jurisdiction.
